1. Acceptance of Terms

By accessing or using the CrowdfundFlow platform, website, or services (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may change these Terms at any time; continued use after changes constitutes acceptance.

2. Nature of the Service; Platform as Venue Only

CrowdfundFlow provides a technology platform only. We do not create, endorse, sponsor, or operate any project listed on the Service. We are not a party to any agreement between project creators and backers. We are not an issuer of securities, not a financial advisor, not a payment processor (except as a technical conduit), and not responsible for the legality, performance, or delivery of any project or reward.

All projects, content, and conduct are solely the responsibility of the users who create or fund them. We do not verify the identity, good faith, or ability of any user to perform.

3. No Responsibility for Projects; Government and Legal Compliance

CrowdfundFlow and its operators are not responsible in any way for any project hosted on or linked through the Service. This includes, without limitation:

• Failure of a creator to deliver rewards or use funds as stated;
• Fraud, misrepresentation, or breach of contract by any user;
• Violation of any law, regulation, or government order by any user or project;
• Tax obligations (creators and backers are solely responsible for their own taxes);
• Securities, financial, or consumer-protection laws in any jurisdiction;
• Any claim, suit, investigation, or enforcement action brought by any government, regulatory body, or third party in relation to a project or user conduct.

Government and regulatory actions: If any government, agency, or court asserts that a project or activity on the Service violates law, the sole responsibility lies with the users involved (creators, backers, or other participants). CrowdfundFlow is not liable and cannot be held responsible for such projects or for any fines, penalties, or remedies imposed on users. Users must ensure their own compliance with all applicable laws.

4. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, LEGALITY, OR QUALITY OF ANY PROJECT OR USER CONTENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDFLOW AND ITS OPERATORS, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY PROJECT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100). THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

6. Indemnification

You agree to indemnify, defend, and hold harmless CrowdfundFlow and its operators, affiliates, officers, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your projects, content, or conduct; (c) your violation of these Terms or any law; (d) any dispute between you and another user; or (e) any government or regulatory action, suit, or investigation related to your project or conduct. We reserve the right to assume the exclusive defense of any matter subject to indemnification by you.

7. User Conduct and Content

You are responsible for all content you post and all activity under your account. You must not use the Service for illegal purposes or to violate any law. We may remove content or suspend accounts at our discretion, without liability to you.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) will survive termination.

9. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which the operator of CrowdfundFlow is established (insert your state/country), without regard to conflict of laws. Any dispute shall be resolved exclusively in the courts of that jurisdiction. You waive any right to participate in a class action against us.
